1. Agreement
This End User License Agreement ("Agreement") is a legal agreement between the individual or legal entity using the product ("Licensee" or "you") and Websio Information Solutions Ltd ("Websio") for the software product known as Scan, PDF and OCR for SharePoint ("Software" or "Product").
The Product includes the eDoc Extension for SharePoint, the Websio eDocStation desktop companion, associated installation packages, documentation, updates, and related components provided by Websio for use with Microsoft 365 and SharePoint Online.
By installing, copying, accessing, or using the Product, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not install or use the Product.
2. Product Components
The eDoc Extension for SharePoint is a SharePoint Framework solution that adds product commands, including Scan and Open in the eDocStation, to supported SharePoint document libraries.
Websio eDocStation is a Windows desktop application used to scan paper documents, import PDFs and image files, compose documents, run OCR, recognize barcodes or document fields, create searchable PDFs, and save resulting files to SharePoint document libraries selected by the user or administrator.
The Product is designed to work in customer-managed Microsoft 365 environments. The customer is responsible for its Microsoft 365 tenant, SharePoint sites, Microsoft Entra app registration, user permissions, scanner hardware, and Windows workstation configuration.
3. License Grant
Subject to this Agreement and payment of all applicable fees, Websio grants you a limited, non-exclusive, non-transferable license to install and use the Product for your internal business purposes.
The Product may be licensed by subscription, by user, by tenant, by workstation, or by another commercial plan agreed with Websio. The applicable invoice, order, quote, subscription plan, or written agreement defines the permitted scope of use.
4. Trial Version
Websio may provide a fully functional 30-day limited trial version for evaluation and certification testing. The trial may become inoperable or require a valid license after the trial period expires.
The trial version is provided to allow testing of the Product in a suitable SharePoint Online and Windows workstation environment before purchase.
5. Restrictions
You may not:
- sell, rent, lease, sublicense, distribute, or provide the Product to third parties except as expressly permitted by Websio;
- modify, translate, reverse engineer, decompile, disassemble, or attempt to derive source code from the Product, except to the extent such restriction is prohibited by applicable law;
- remove copyright, trademark, or proprietary notices from the Product;
- use the Product to provide service bureau, time-sharing, hosted, or outsourced document processing services to third parties without written permission from Websio;
- use the Product in violation of applicable laws, Microsoft service terms, or the policies of your Microsoft 365 organization.
6. Microsoft 365, SharePoint, and Entra Configuration
The Product operates with Microsoft 365, SharePoint Online, and Microsoft Entra ID. These Microsoft services are not provided by Websio and remain subject to the customer's agreements with Microsoft.
Production deployments use Microsoft Entra modern authentication with a customer-owned app registration and delegated permissions approved by the customer administrator. Websio does not require or collect Microsoft 365 passwords.
The customer is responsible for granting appropriate SharePoint permissions to users, approving required delegated permissions, maintaining tenant security policies, and ensuring that users are authorized to process and upload documents to the selected SharePoint libraries.
7. Data and Documents
Documents processed by the Product are selected by the user or administrator and are saved to the customer's SharePoint environment. The desktop companion processes documents on the user's Windows workstation unless Websio and the customer separately agree to another service arrangement.
Websio does not claim ownership of customer documents, SharePoint files, metadata, OCR output, barcode values, or other customer content processed with the Product.
Any support data, logs, screenshots, configuration details, or sample documents voluntarily provided to Websio are used to provide support for the Product according to Websio's privacy policy and support practices.
8. Third-Party Components
The Product may include or be distributed with third-party components, open source components, OCR libraries, scanner-related libraries, PDF/image processing libraries, Microsoft libraries, and browser/runtime components. Such components are subject to their own license terms where applicable.
Nothing in this Agreement limits rights that you may have under applicable third-party open source licenses.
9. Ownership
The Product is licensed, not sold. Websio and its licensors retain all right, title, and interest in and to the Product, including all intellectual property rights. You receive only the rights expressly granted in this Agreement.
10. Support, Updates, and Services
Support, maintenance, updates, renewals, and professional services are provided according to the applicable Websio plan, quote, invoice, or written agreement. Unless expressly included, this Agreement does not require Websio to provide custom development, migration, implementation, or dedicated support services.
11. Disclaimer of Warranty
Except as expressly stated in a separate written agreement, the Product is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Websio does not warrant that the Product will be uninterrupted, error-free, compatible with every scanner, workstation, Microsoft 365 tenant policy, SharePoint configuration, browser setting, or third-party system.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Websio shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, business interruption, loss of goodwill, or costs of substitute services, arising out of or related to the Product or this Agreement.
To the maximum extent permitted by applicable law, Websio's total liability for any claim related to the Product or this Agreement shall not exceed the amount paid to Websio for the Product during the twelve months preceding the event giving rise to the claim.
13. Termination
This Agreement remains in effect until terminated. Your rights under this Agreement terminate automatically if you fail to comply with its terms. Upon termination, you must stop using the Product and remove the Product components from your SharePoint tenant and workstations, except to the extent needed to preserve customer records or comply with law.
14. Governing Law
This Agreement is governed by the laws of Israel, without regard to conflict of law principles. Any dispute arising out of or related to this Agreement shall be brought in the competent courts of Israel, unless applicable law requires another forum.
